Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Walnut websites (including walnutlang.com, docs.walnutlang.com, and packages.walnutlang.com), the Walnut language toolchain (compiler, runtime, CLI, standard library, and related tooling), the package registry, documentation, and any related services (together, the “Services”).
By accessing the Services, downloading or installing Walnut, creating an account, publishing packages, or obtaining a license file, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, do not use the Services.
1. Who we are
“Walnut,” “we,” and “us” refer to the operators of the Walnut project and Services as identified on walnutlang.com. Contact: [email protected].
2. Proprietary software
Walnut is proprietary software. Except for rights we expressly grant in writing (including under a Commercial seat agreement or the Community usage rules described below), no license is granted to copy, modify, distribute, publish, sublicense, or otherwise exploit the toolchain source or binaries.
The repository LICENSE and any Commercial license documents are incorporated by reference. If there is a conflict between these Terms and a signed Commercial agreement, the signed agreement controls for the licensed seats covered by that agreement.
3. Accounts and eligibility
You must provide accurate registration information for registry and related accounts, keep credentials confidential, and promptly notify us of unauthorized use. You are responsible for activity under your account and API tokens.
You must be legally able to enter into these Terms in your jurisdiction. The Services are not directed to children under 16.
4. Community and Commercial editions
4.1 Community
Unless you hold a valid Commercial entitlement, builds produced with the toolchain may include Walnut branding (including splash and credits). Community use remains subject to the proprietary license: you may use the published toolchain to develop and ship applications as we allow, but you may not redistribute the toolchain itself, strip license or branding checks, or claim Walnut is open source.
4.2 Commercial seats
Commercial seats are sold per developer seat on a subscription basis (and any other commercial terms we publish). A valid signed license file issued by the package registry (or another issuer we authorize) may unlock Commercial builds that omit mandatory Community branding, subject to seat limits, expiry, and refresh requirements.
You must not share license files beyond entitled seats, forge licenses, or circumvent verification. Above any published revenue or funding threshold in the applicable commercial terms, Commercial seats may be required to ship store builds without Community branding.
There is no per-install runtime fee charged by Walnut for end-user installations of apps you build, unless a separate agreement says otherwise.
4.3 Apps you build
Subject to these Terms and applicable licenses, you own the applications and content you create with Walnut. We claim no ownership of your app source, assets, or App Store listings. You are solely responsible for your apps’ compliance with Apple’s terms, privacy laws, store policies, and third-party rights.
5. Package registry
If you use packages.walnutlang.com (or another registry we operate):
- You may publish packages only if you have rights to distribute that content.
- Package names, metadata, and tarballs you upload may be publicly downloadable unless we state otherwise.
- We may remove, yank, or restrict packages that are unlawful, infringing, malicious, abusive, or that violate these Terms.
- API tokens are secrets; revoke compromised tokens immediately.
- Self-hosted registries you run are your responsibility; these Terms still apply to our hosted Services and to license files we issue.
6. Acceptable use
You agree not to:
- Reverse engineer, decompile, or circumvent license, branding, or security mechanisms except to the limited extent applicable law prohibits such restriction
- Redistribute, rent, or sublicense the Walnut toolchain except as we expressly allow
- Interfere with or disrupt the Services, or attempt unauthorized access to accounts, systems, or data
- Use the Services to distribute malware, spam, or unlawful content
- Misrepresent affiliation with Walnut or remove proprietary notices
- Scrape or overload the Services in a way that degrades availability for others (reasonable automated use of documented APIs is fine)
7. Third-party platforms
Walnut helps you target Apple platforms. Apple Inc., the App Store, Xcode, Simulator, TestFlight, and related tools are governed by Apple’s agreements—not these Terms. Homebrew, Git hosting, cloud providers, and other tools you choose are likewise third parties. We are not responsible for third-party products or policies.
8. Websites and documentation
Documentation is provided for convenience and may change. Examples and sample apps are illustrative; they are not warranties of fitness for your production use.
9. Feedback
If you send ideas, bug reports, or suggestions, you grant us a perpetual, worldwide, royalty-free license to use that feedback without obligation to you.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the toolchain will be error-free, that compilation or shipping will succeed for every project, or that the Services will be uninterrupted.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALNUT AND ITS CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICES—EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR COMMERCIAL SEATS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
12. Indemnity
You will defend and indemnify Walnut and its contributors against claims arising from your apps, your packages, your misuse of the Services, or your violation of these Terms or third-party rights—except to the extent caused by our willful misconduct.
13. Suspension and termination
We may suspend or terminate access to hosted Services (including accounts, tokens, or license issuance) for violation of these Terms, non-payment, legal risk, or abuse. You may stop using the Services at any time. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) survive termination.
Local copies of the toolchain remain subject to the proprietary license after termination of hosted access.
14. Changes
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes to paid Commercial terms will be communicated through reasonable means (for example email or account notice) where required. Continued use after changes become effective constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the United States and the State of California, excluding conflict-of-law rules. Courts located in California will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.
